Share valuation is a key step in the design and implementation of an employee share scheme for an unquoted company. Tax or fiscal valuations in the UK are subject to special rules which have evolved over time out of a combination of case law and legislation. Whether a valuation is acceptable for tax purposes is ultimately a matter for HMRC.
HMRC’s Shares & Assets Valuation Office reviews and agrees on share valuations for the tax-advantaged employee share schemes, previously known as tax-approved schemes. Since HMRC withdrew its facility for Post-Transaction Valuation Checks and PAYE Health Checks for valuation, it is vital that your valuation is rigorous in order to ensure that it is credible and capable of a robust defence if subsequently challenged by HMRC.

David is a regular conference speaker for the Esop Centre and senior examiner for The ESOP Institute in London in relation to The Certificate in Employee Share Ownership Studies, the material for which he is author and principal authority.
