Background: In this presentation, Suzannah Crookes covers key updates to institutional investor guidance on executive compensation for 2024 and their impact on share plan design and operation. The presentation examines potential changes to guidance from groups like the Investment Association and Glass Lewis regarding plan structures like LTIPs and restricted share plans, performance targets, holding periods, and dilution limits. The presentation was debated by the panel on "Anticipating Issues In Executive Rewards, Investor Guidance, And Communications", at the Esop Centre’s 2024 Share Plans Symposium on 25 April.

Suzannah Crookes has extensive experience advising UK and overseas companies on the introduction and ongoing operation of their share plans and other equity incentive arrangements, both at executive level and for the wider workforce. She supports companies in the design and implementation of plans to meet tax, legal and governance best practice requirements while maintaining focus on effective communication and alignment with commercial strategy, ensuring compliant operation of plans. Suzannah’s career includes roles in the big 4 and a large international law firm, and was a member of the corporate tax advisory team in that firm. She sits on the Steering Committee of the Esop Centre; is actively involved with the Global Equity Organisation as part of the North and Midlands committee for the UK Chapter, and with ProShare as a member of several focus groups.
