Background: In our Esop Sofa 2024 end of year round-up, the Esop Centre’s panel of employee share scheme experts will look at the impact of October’s Budget and PISCES (Private Intermittent Securities and Capital Exchange System).
Suzannah Crookes, Legal Director at Tapestry Compliance, will discuss the Budget’s impact on employee share ownership in general. Esop Barrister David Pett of Temple Tax Chambers, will examine the announced reforms to Employee Ownership Trusts. And Corpgro Founder Damian Carnell will guide us through the progress of PISCES following announcements in the Chancellor’s Mansion House speech.
Chairing the panel, Darren Smith of Global Shares (JP Morgan), will be asking for their predictions for the year ahead, too.

Suzannah Crookes has extensive experience advising UK and overseas companies on the introduction and ongoing operation of their share plans and other equity incentive arrangements, both at executive level and for the wider workforce. She supports companies in the design and implementation of plans to meet tax, legal and governance best practice requirements while maintaining focus on effective communication and alignment with commercial strategy, ensuring compliant operation of plans. Suzannah’s career includes roles in the big 4 and a large international law firm, and was a member of the corporate tax advisory team in that firm. She sits on the Steering Committee of the Esop Centre; is actively involved with the Global Equity Organisation as part of the North and Midlands committee for the UK Chapter, and with ProShare as a member of several focus groups.
For over 25 years, David Pett has been ranked as a ‘leading expert’ (or equivalent) in the Chambers and Legal 500 directories of law firms and was, in 2016, referred to as “the god-father” in his field. As a ‘share plans lawyer’, David drafts all forms of employees’ trusts, both UK and non-UK resident, written under English trust laws, and advises on commercial, corporate and trust law, as well as UK tax issues, arising from the operation of such trusts and the associated trusteeship. He is renowned for his advice on all aspects of employment-related securities and employee share plans. David is author and joint editor of “Employee Share Schemes” (the 2-volume loose-leaf textbook, pub. Thomson Reuters) and author of a number of works on share schemes and employees’ trusts, including the original “Practical Guide to Employee Share Schemes”. He has written extensively on all aspects of the ‘disguised remuneration’ legislation. Most recently, David has written the Claritax guides to Disguised Remuneration and the Loan Charge (Aug 2020) and Employee-ownership Trusts (Feb 2022).
Damian Carnell is the Founder and Director of CORPGO, a reward consultancy specialising in executive incentives and share plans. He has extensive experience advising all kinds of companies on all aspects of executive compensation and employee share plans, both in the UK and worldwide. He was previously with Willis Towers Watson, Aon, and Ernst and Young.Damian has wide-ranging experience in supporting business strategy and aims. He is fully familiar with Corporate Governance norms and institutional shareholder views as well as extensive experience of helping unlisted companies with top pay and share plans.

Share plans sector stalwart Darren Smith joined the Global Shares team in July 2021. Darren worked with YBS Share Plans for more than 20 years as share plans consultant, client relationship manager and most recently as national sales manager, until it announced that it was pulling out of share scheme administration. Darren is a well-known and regular industry host, speaking on topics including share plans and financial wellbeing, bringing fun and an engaging style to events.
